JOB DESCRIPTION
1. Advise and develop corporate governance plans and structures:
- Advise, design and implement corporate governance plans, models and structures aligned with development strategy, ensuring effectiveness, transparency and legal compliance.
- Advise and propose organizational structure, capital structure, ownership, and coordination mechanisms between governance levels.
2. Manage the company's internal regulations and policy system:
- Oversee the entire system of internal regulations: policies, procedures, guidelines, templates, etc. of the entire company and member units.
- Establish, operate and control the issuance of policies, procedures, updates, digitization, publication and archiving of internal regulations according to governance standards.
- Check the legality, validity and consistency of documents in the system; prevent conflicts and overlaps.
- Monitor and promote the development, issuance, amendment and supplementation of internal regulations to meet the Company's governance requirements.
3. Advise, develop, review and standardize corporate governance documents
- Develop, update and manage internal documents on corporate governance: charter, Board of Directors regulations, organizational regulations, authority delegation and appointment
- Review, conduct legal due diligence, ensure legality and consistency with the operating model and current laws.
4. Organize and support the operation of governance levels
- Organize and support General Shareholders' Meetings, Board of Directors meetings, Committee meetings, Executive Board meetings; manage documents, minutes, resolutions and other governance documents; maintain relationships with shareholders, managers and related parties.
5. Monitor compliance and assess legal risks in governance activities
- Advise and control legal risks in governance activities; review and check compliance in organizational decisions, personnel and internal operations
6. Advise and handle disputes related to corporate governance
- Advise and implement solutions to resolve internal disputes, shareholder disputes, manager disputes, or complaints related to governance rights and obligations.
7. Manage, archive and digitize legal and governance documents
- Centrally manage governance legal documents; implement archiving and digitization systems, ensure easy retrieval, safety and security.
8. Train and update laws on corporate governance
- Train and disseminate internal regulations and laws related to company governance; update new documents and advise on adjustments in accordance with laws and best practices.
9. Perform legal procedures and disclose information
- Perform procedures related to establishment, changes in business activities and conduct governance reporting, disclose information in accordance with laws and regulations of regulatory authorities.
10. Perform compliance reporting tasks and work with competent authorities related to compliance
11. Perform other tasks as prescribed or as requested by company leadership
- Perform tasks assigned under the direction of the Executive Board and Board of Directors.
12. Report, communicate work and make proposals
CANDIDATE REQUIREMENTS
1. Education:
- Bachelor's degree or higher in Law or related fields.
2. Experience:
- 2 - 5 years of experience

- Independently apply business law in handling routine work.
- Lead the development and update of internal governance documents.
- Effectively coordinate governance activities at department/company level.
- Monitor compliance and propose measures to prevent legal risks.

- Understand and effectively apply business and securities law.
- Independently perform legal procedures and disclose information.
- Understand working procedures with SSC and Stock Exchanges.

- Effectively apply digital tools in document management and reporting.
